CRM Client Portal Terms & Conditions

Welcome to the Stagg IT Solutions CRM Client Portal (the "Portal"). By logging into, registering for, accessing, or using this Portal, you ("Client," "User," or "You") agree to be legally bound by these Portal Terms and Conditions ("Portal Terms").

This Portal is owned and operated by STAGG IT SOLUTIONS (represented by Sole Proprietor Jorge Sarmiento), registered under the laws of the Republic of the Philippines through the Department of Trade and Industry (DTI), with principal business operations based in Mabalacat City, Pampanga, Philippines ("Company," "We," "Us," or "Our").

IF YOU DO NOT AGREE TO THESE PORTAL TERMS, YOU MUST DISCONTINUE USE AND LOG OUT IMMEDIATELY.

1. NATURE OF CRM SYSTEM & BIR NON-FISCAL DOCUMENTS

  1. Operational CRM Purpose: This Portal is an online Customer Relationship Management (CRM) system deployed strictly for project coordination, order tracking, technical ticketing, digital sign-offs, and communication management.

  2. Non-Fiscal Documents: Any "Order Confirmation," "Order Summary," "Estimate," "Quotation," "Pro-Forma Invoice," "Statement of Account," or "Credit Note" generated, viewed, or downloaded within this Portal does NOT constitute an official tax invoice, official receipt, or fiscal billing document under Philippine tax laws.

  3. Official BIR Sales Invoices: In strict compliance with Bureau of Internal Revenue (BIR) regulations, Revenue Regulations (RR), and the Ease of Paying Taxes (EOPT) Act (Republic Act No. 11976), valid BIR-registered Sales Invoices required for input VAT claims, BIR tax credits, or corporate expense deductions must be requested directly from our finance department via info@stagg.ph.

2. ELECTRONIC SIGNATURES, DIGITAL APPROVALS & E-COMMERCE COMPLIANCE

  1. Express Electronic Consent: When You execute agreements, approve project estimates, sign change orders, accept completion certificates, or authorize proposals within this Portal by clicking "Sign," "Approve," "Accept," "Submit," or via touchscreen/digital signature overlays, You provide express legal consent to conduct business and execute contracts electronically.

  2. Legal Validity (R.A. 8792): In accordance with Section 12 and related provisions of the Philippine Electronic Commerce Act of 2000 (Republic Act No. 8792), electronic signatures and digital approvals captured within this Portal carry the exact same legal weight, validity, enforceability, and binding effect as traditional handwritten signatures executed on paper. You hereby waive any right to challenge the legal enforceability of a document solely on the grounds that it was executed electronically within the Portal.

3. ESTIMATES, PROPOSALS & PAYMENT CLEARANCE

  1. Non-Binding Estimates: All estimates, cost models, and initial project proposals displayed in this Portal are preliminary technical assessments based on initial scopes. They do not constitute a fixed-price contract until formally accepted and supported by the required down payment.

  2. Quote Validity (15 Days): Unless explicitly stated otherwise on the generated quote, all quoted prices, labor rates, hardware costs, and material line items displayed within the Portal are valid for fifteen (15) calendar days from the date of generation.

  3. Mandatory Scope Variance & Change Orders: Given the technical complexity of our installations (including CCTV, access control, smart automation, solar power, low-voltage systems, structured cabling, and software builds), any unforeseen physical site obstacles, structural limitations, or Client-requested modifications discovered after site entry will require a formal Change Order generated through the Portal, subject to additional client approval and payment adjustments.

  4. Mobilization Down Payment Clearance: No deployment of technical personnel, software programming, hardware procurement, material dispatch, or physical installation work will commence until a mandatory 50% down payment (or 100% advance payment for trading/product purchases) is cleared, verified, and confirmed by our finance team.

4. CREDIT ADJUSTMENTS & PORTAL ACCOUNTS

  1. Internal Accounting Credits: "Credit Notes," balance adjustments, or promotional credits visible in your Portal dashboard reflect internal accounting updates, commercial settlements, or advance credits.

  2. No Cash Equivalent: Internal credits carry zero monetary or cash redemption value, are strictly non-refundable, and cannot be transferred to third parties. They may only be applied as an internal set-off or offset against your active outstanding balances or future service orders placed within this Portal.

  3. BIR Credit Memos: Formal tax credit adjustments or fiscal invoice reversals require an official BIR-registered Credit Memo, which Our finance team will issue manually only following a complete review of the original valid BIR Sales Invoice.

5. DATA PRIVACY, PROTECTION & DATA SUBJECT RIGHTS

  1. Regulatory Compliance: We collect, process, store, and protect all personal and corporate data submitted to the Portal in full compliance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and, where applicable to international data subjects, the European Union General Data Protection Regulation (GDPR).

  2. Purpose of Data Processing: Personal data (including full names, government IDs, corporate roles, contact numbers, email addresses, site addresses, floor plans, network topology data, and financial transactions) is processed strictly to execute technical services, process sales, verify client identity, manage accounts, and fulfill legal/contractual obligations.

  3. Data Subject Rights: You maintain the legal right to access, audit, rectify, restrict, or request the erasure of your personal data stored within our CRM, subject to legal record-retention mandates. To exercise these rights, contact Our Data Protection Officer at dpo@stagg.ph.

  4. Login Credential Security: While We implement enterprise-grade data encryption, firewalls, and access control protocols, You are strictly responsible for maintaining the confidentiality of your Portal username, password, and multi-factor authentication codes. Any activity performed under your authenticated account credentials will be legally attributed to You.

6. PORTAL RESTRICTIONS, SECURITY & ACCOUNT TERMINATION

  1. Authorized Commercial Use: You agree to use this Portal exclusively for legitimate, lawful commercial interactions with Stagg IT Solutions.

  2. Prohibited System Abuse: You are strictly prohibited from engaging in any of the following activities:

    • Attempting to bypass, breach, probe, scan, or compromise the Portal’s authentication, database, or security infrastructure.

    • Scraping, harvesting, extracting, or mining data from the Portal using automated software, bots, or web-crawlers.

    • Uploading, transmitting, or introducing viruses, malware, ransomware, corrupted files, or malicious script code to the Portal.

    • Reverse-engineering, decompiling, or modifying any component of the Portal interface or backend software.

  3. Immediate Account Suspension/Termination: We reserve the absolute right to suspend, lock, or permanently terminate your Portal access at any time, without prior notice or financial liability, if We detect fraudulent behavior, unauthorized credential sharing, systematic abuse, or any violation of these Portal Terms.

7. SCOPE OF SERVICES & LIMITATION OF PORTAL LIABILITY

  1. Comprehensive Service & Trading Scope: Stagg IT Solutions provides software development, IT support, cloud services, systems integration, digital marketing, UI/UX design, branding, and technical consultancy, alongside the wholesale/retail trading, distribution, installation, and maintenance of CCTV/surveillance, low-voltage security, access control, smart locks, biometrics, structured cabling, server racks, audio-visual/PA systems, LED displays, solar energy, electrical wiring, generators, and UPS systems.

  2. Site Access & Readiness: For physical installation projects initiated via the Portal, the Client remains solely responsible for providing safe, unobstructed, and legal site entry, continuous 220V power, internet connectivity, and all necessary permits (HOA, building, LGU). Project delays caused by unready sites or missing client permits are subject to standard Standby Fees (₱1,500.00/day per technician) as outlined in our primary contract terms.

  3. "As-Is" System Provision: This Portal is provided on an "AS IS" and "AS AVAILABLE" basis. While We make every effort to ensure maximum uptime, We do not guarantee that the Portal will be 100% error-free, uninterrupted, or accessible at all times due to scheduled system maintenance, server upgrades, or third-party telecommunication disruptions.

  4. Indirect & Consequential Damages: To the maximum extent permitted by Philippine law, Stagg IT Solutions and Jorge Sarmiento shall NOT be held liable for any indirect, special, incidental, punitive, or consequential damages—including lost business profits, data loss, network downtime, or commercial losses—arising from your reliance on internal Portal summaries or temporary Portal unavailability.

  5. Indemnification: You agree to defend, indemnify, and hold harmless Stagg IT Solutions, its owner, employees, and field contractors against any legal claims, liabilities, lawsuits, damages, or legal expenses resulting from your misuse of the Portal or breach of these Portal Terms.

8. GOVERNING LAW, DISPUTE RESOLUTION & JURISDICTION

  1. Governing Law: These Portal Terms shall be governed, interpreted, and enforced strictly in accordance with the laws of the Republic of the Philippines.

  2. Exclusive Court Venue: Any legal dispute, controversy, claim, or court action arising out of or relating to these Portal Terms, Portal access, or services ordered through the Portal shall be submitted to the exclusive jurisdiction of the proper courts of Mabalacat City, Pampanga, Philippines, to the complete exclusion of all other courts and venues.
